Coverage
For risks of any size that are faced with securities exposures, the XL Insurance companies offer both primary and excess coverage options. Our product offerings and capabilities vary by class of business and client needs.
- Primary Directors and Officers. Coverage offered through our Management Liability, Classic, or Cornerstone forms.
- Excess Directors and Officers. Follows the terms and conditions of the primary policy and any other underlying insurance. The policy contains no exclusions and does not have an assignment, subrogation, warranty or arbitration clause.
- Private Company Directors and Officers. Tailored to specifically meet client needs. The client can purchase separately or in any combination with Management Liability and Company Reimbursement Insurance, Employment Practices Liability Insurance or Fiduciary Liability Insurance.
- Classic A-Side coverage for Directors and Officers. This policy provides directors and officers with personal asset protection in situations when other sources of insurance or indemnification fail or are not available. Major coverage highlights include:
- Difference-in-Conditions (DIC) coverage — Fills coverage gaps that exist in many primary D&O forms.
- Responds when other insurance and indemnification fails — Provides protection when other insurance or indemnification fails or is not available for any reason, including failure to respond to situations on a timely basis.
- Specifically Crafted Individual(s) D&O Coverage — Can be amended to provide: (1) specifically targeted coverage for an individual in his/her capacity as a director or officer at one or more organizations. (2) dedicated coverage for a group of individuals who face increased scrutiny as members of a Special Board Committee.
- Cornerstone A-Side coverage for Directors and Officers. This policy provides directors and officers with personal asset protection in situations when other sources of insurance or indemnification fail or are not available. The flexibility and simplicity of the Cornerstone Form has allowed it to continuously address the risks faced by Directors and Officers and stand out favorably from other DIC forms available in the marketplace. Major highlights include:
- Difference-in-Conditions (DIC) coverage — Fills coverage gaps that exist in many primary D&O forms.
- Responds when other insurance and indemnification fails — Provides protection when other insurance or indemnification fails or is not available for any reason, including failure to respond to situations on a timely basis.
- Specifically Crafted Individual(s) D&O Coverage-- The Cornerstone Policy Form can be structured to provide dedicated coverage to Special Board Committees, Audit Committees, Outside Directors, or any other D&O sub-group facing increased scrutiny in today's governance environment. This form can also be crafted to provide targeted coverage for an individual in his/her role as Director or Officer across one or more unrelated firms.
